Navigating the UAE’s fragmented regulatory landscape—across VARA, DIFC, ADGM, and CBUAE—posed a challenge. The client needed a jurisdiction offering regulatory clarity, scalability, and credibility, without delaying rollout or impacting investor confidence.

To obtain a full-spectrum VARA licence that would serve as a foundation for the client’s global operations. The aim was to launch an institutional-grade exchange in Dubai that complied with local regulatory requirements, offered custodial and trading services, and could act as a compliance blueprint for jurisdictions like Singapore, Switzerland, and Mauritius.

We delivered a jurisdictional and operational strategy tailored for Dubai’s Virtual Assets Regulatory Authority (VARA)— aligning the client’s business model with Dubai’s unique regulatory architecture. In parallel, we developed a global compliance playbook to facilitate rollouts into other crypto-friendly jurisdictions using the Dubai structure as the regulatory gold standard.

  • Mapped VARA’s rulebooks and classifications against FATF guidelines and the client’s token architecture.

  • Delivered a jurisdictional heat-map comparing regulatory maturity, risk appetite, onboarding complexity, and institutional reputation.

  • Identified VARA’s Tier 1 VASP (Virtual Asset Service Provider) licence as the most aligned with the client’s exchange and custodial ambitions.

  • Developed end-to-end internal documentation: AML/CFT policies, risk frameworks, business continuity protocols, and client onboarding flows.

  • Built a multi-jurisdictional compliance infrastructure designed to extend beyond the UAE and harmonise with EU, UK, and APAC expectations.
